1. Acceptance of Terms
By accessing or using our website (the “Site”) or engaging our services, you (“you”, “your”, or “Client”) agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of the Terms, you must not use our Site or engage our services.
2. Services
2.1. We will provide the services described in a separate service agreement or engagement letter (if applicable) or as otherwise described on our Site.
2.2. You accept that our services are advisory in nature. We will assist you according to your instructions, the information you provide, and the applicable requirements of your partner, employer, institution, and immigration/visa authority.
2.3. We do not guarantee any particular outcome, including visa or permit approval, job placement, admission, scholarship or trainee placement.
3. Your Obligations
3.1. You agree to provide accurate, complete and timely information and documentation as we request. False, misleading, or omitted information may result in the termination of our services and negatively impact your application or placement.
3.2. You agree to cooperate with us, respond promptly to communications, and follow our reasonable procedural instructions. Delays or impediments caused by you may impact timelines and result in additional fees.
3.3. You agree to inform us of any change in your situation, circumstances or contact details, including a change in address, nationality, visa status or any condition relevant to your application or placement.
4. Fees, Payment & Refunds
4.1. Fees for our services will be communicated separately (in your service agreement or via invoice). You agree to pay fees according to the schedule provided.
4.2. Unless otherwise agreed in writing, payments are non-refundable once work has commenced in earnest, except as required under applicable law.
4.3. We may suspend or terminate provision of services if you fail to pay in accordance with the fee schedule.
4.4. You will also be responsible for all disbursements, government/agency fees, employer/institution charges, travel, insurance and other costs as specified in your engagement.
5. Scope Limitation
5.1. We reserve the right to decline or terminate services for applications or inquiries from jurisdictions, clients or regions where we determine we are not able to operate (due to regulatory, licensing, partnership, or logistical constraints).
5.2. Our refusal or limitation of service is based on such operational considerations, not on a basis of race, ethnicity, religion, gender, nationality or other protected characteristic.
6. Intellectual Property & Website Use
6.1. The Site and its content (text, graphics, logos, software) are owned or licensed by us and are protected by applicable intellectual property laws.
6.2. You may access and view the Site and download non-commercial copies of selected material for personal use only, provided you keep intact all copyright and proprietary notices.
6.3. You must not modify, distribute, reproduce, publicly display, decompile, reverse engineer or otherwise exploit the Site content or any part of it without our prior written consent.
7. Privacy & Data Protection
7.1. Your use of our services and submission of personal information is also governed by our Privacy Policy (which you should review).
7.2. You consent to our collection, use and disclosure of your personal information as described in the Privacy Policy and as reasonably required to deliver our services (including sharing with partner institutions, employers, migration/visa authorities).
8. Limitation of Liability & Indemnity
8.1. To the fullest extent permitted by applicable law, LinkEdu Migration Consultancy Inc. and its affiliates, officers, directors, employees and agents will not be liable to you for any indirect, incidental, consequential, special or punitive damages, including loss of profit or business opportunity, arising out of or related to the services we provide or the Site, even if we have been advised of the possibility of such damages.
8.2. Our total liability to you for any claim arising from our services or the Site will be limited to the fees you paid us for the specific service that gave rise to the claim (or a lesser amount if required by law).
8.3. You agree to indemnify and hold harmless LinkEdu Migration Consultancy Inc., its officers, directors, employees and agents from and against any claims, liabilities, losses, costs or expenses (including reasonable legal fees) arising from your breach of these Terms or your engagement of our services, or your incorrect or misleading information.
9. Termination
9.1. Either party may terminate the service agreement or engagement by giving 15 days written notice, unless otherwise agreed.
9.2. If you terminate the engagement, you will be responsible for fees for work done up to termination and for any costs incurred by us on your behalf.
9.3. Upon termination, clauses which by their nature are intended to survive (such as fees, indemnity, limitation of liability and intellectual property) will remain in effect.
10. Governing Law & Dispute Resolution
10.1. These Terms and any service agreement are governed by and construed in accordance with the laws of the Republic of the Philippines (or state another jurisdiction if applicable).
10.2. The parties first agree to attempt to resolve any dispute amicably through good‐faith discussions. If no resolution is reached within [insert period, e.g., 30 days], the dispute may be referred to binding arbitration (or court) in [insert city/venue].
10.3. Nothing in this clause prevents either party from seeking urgent injunctive relief in a competent court.
11. Changes to Terms
We reserve the right to update, amend or modify these Terms at any time. We will post the revised Terms on the Site and indicate the “Effective Date.” Your continued use of the Site or our services after changes constitutes your acceptance of the new Terms.
12. Miscellaneous
12.1. If any provision of these Terms is found to be unenforceable or invalid under applicable law, it will be severed and the remaining provisions will remain in full force and effect.
12.2. No waiver by us of any right or provision under these Terms will constitute a waiver of any other right or provision.
12.3. These Terms, together with your service engagement (if any), constitute the entire agreement between you and us regarding the subject matter and supersede any prior oral or written communications.
